The Representative Plaintiff, Jeana Parko, brought a lawsuit against the Shell Defendants and the ConocoPhillips Defendants in April 2012 as a proposed class action on behalf of persons who owned property or lived in the Village of Roxana, Illinois, near the Wood River Refinery (the “Facility”), who claim to have suffered damages as a result of alleged soil and groundwater contamination allegedly caused by releases from the Facility. All Defendants deny Plaintiff’s allegations in the Complaint and further deny that they are liable to Plaintiff or to any Member of the Settlement Class based on the claims asserted in the Complaint. Plaintiff and Defendants have concluded, however, that the proposed Settlements are in the best interest of Plaintiff, the Members of the Settlement Class and all Defendants because of the uncertainty, expense, risk, and delays of litigation.
